Terms of Service

Welcome to asklake. These Terms of Service (“Terms”) govern access to and use of asklake’s conversational analytics platform (the “Service”). By creating an account or using the Service, you agree to these Terms on behalf of the company you represent (the “Customer”).

1. Acceptance

If you do not agree to these Terms, do not use the Service. If you accept on behalf of an entity, you represent that you have authority to bind it.

2. What asklake is

asklake connects to the BI tools the Customer already uses, interprets their dashboards and migrates them to the asklake platform, enabling questions in natural language, by text or voice. Commercial details (scope, volumes and pricing) are set out in the applicable order, proposal or plan.

3. Accounts, access and security

The Customer is responsible for keeping credentials confidential and for all activity under its account. Notify us promptly of any unauthorized use at hello@asklake.com.br.

4. Plans, licenses and payment

Use may be subject to plans, per-user licenses or subscription, as set out in the applicable order. Unless stated otherwise, fees exclude taxes and are non-refundable. Late payment may result in suspension of access.

5. Acceptable use

The Customer must not: (a) violate laws or third-party rights; (b) attempt to access systems without authorization, reverse engineer, or circumvent technical limits; (c) submit unlawful, malicious or infringing content; or (d) use the Service to build a competing product.

6. Customer and third-party data

“Customer Content” includes data, dashboards and sources connected by the Customer, which may contain personal data of third parties (e.g., the Customer’s own customers or staff). With respect to such personal data, asklake acts as a processor, processing it solely on the Customer’s documented instructions, with the Customer acting as controller. The Customer represents and warrants that it has a lawful basis and all necessary authorizations. Processing is governed by our Privacy Notice and, where applicable, a Data Processing Agreement (DPA).

7. Intellectual property

asklake and its technology remain the exclusive property of asklake. The Customer retains all rights to Customer Content and grants asklake a limited license to host and process it solely to provide the Service.

8. Confidentiality

Each party will protect the other’s confidential information with the same care it applies to its own, and will not disclose it except as required by law or to provide the Service.

9. Availability and support

We strive for high availability, but the Service is provided on a best-efforts basis unless a specific SLA is agreed in writing. We may perform scheduled maintenance with reasonable notice.

10. Warranties and disclaimers

Except as expressly stated, the Service is provided “as is”, without implied warranties of fitness for a particular purpose or of analytical results. Decisions made based on outputs are the Customer’s responsibility.

11. Limitation of liability

To the maximum extent permitted by law, asklake is not liable for indirect damages, lost profits or loss of data. asklake’s aggregate liability is limited to the amounts paid by the Customer in the 12 months preceding the event.

12. Indemnification

The Customer will indemnify asklake against third-party claims arising from Customer Content or from use of the Service in breach of these Terms or applicable law.

13. Term and termination

These Terms apply for as long as the Service is used. Either party may terminate for uncured material breach. Upon termination, we may delete Customer Content in line with our retention period.

14. Changes

We may update these Terms. Material changes will be communicated with reasonable notice. Continued use after they take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the Federative Republic of Brazil, including Law No. 13.709/2018 (LGPD), and, where the Customer is established in the EU/EEA, Regulation (EU) 2016/679 (GDPR) applies to the relevant processing.
